These Terms & Conditions (“Terms”) govern your access to and use of the Zopiva website, products, and related services (the “Services”). By browsing, creating an account, or placing an order, you agree to these Terms.

Zopiva is an online storefront operated under the name ZOPIVA by an individual sole proprietor. The store sells to customers in the United States. The operator may be located outside the United States. We do not publish a residential country, state, or street address on this page.

1. Who we are

The Services are operated by ZOPIVA, an individual sole proprietor doing business as Zopiva (“Zopiva,” “we,” “us,” or “our”). Primary contact: hello@zopiva.com.

2. Eligibility and customer location

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Services or place an order. The Services are intended for customers who can receive delivery at a United States shipping address that we can fulfill. By using the Services, you represent that you meet these requirements.

3. Accounts

You may shop as a guest or create an account. If you create an account, you are responsible for keeping your login credentials confidential and for activity under your account. Tell us promptly at hello@zopiva.com if you suspect unauthorized use. We may suspend or close accounts that appear abusive, fraudulent, or in violation of these Terms.

4. Products and availability

We aim to describe products accurately, including pricing, options, and availability. Product images are for illustration; actual appearance may vary slightly. Inventory and supplier availability can change. We may limit quantities, refuse or cancel orders, discontinue products, or correct listing errors (including pricing errors) at any time, even after an order is submitted, and will notify you if that happens.

Some catalog items may be labeled as demonstration or sample data while the store is being evaluated. Demonstration items are not offered for real purchase unless clearly stated otherwise.

5. Pricing and taxes

Prices are shown in U.S. dollars unless noted otherwise. Prices, promotions, and shipping charges may change without notice. Applicable sales tax or similar charges may be estimated at checkout and finalized based on your U.S. shipping address and applicable law. You are responsible for any taxes associated with your purchase except taxes based on our net income.

6. Orders and payment

Submitting an order is an offer to buy. We accept your offer when we confirm the order and successfully authorize or capture payment. We use Stripe (or another designated payment provider) to process payments. You authorize us and our payment provider to charge your selected payment method for the total shown at checkout, including merchandise, shipping, discounts, and applicable tax.

If payment fails, is reversed, or is suspected to be fraudulent, we may cancel the order and/or withhold shipment. Title and risk of loss for products pass to you when the package is delivered to the carrier or, if earlier, when delivered to you, except where mandatory law provides otherwise.

7. Shipping

We currently ship within the United States to addresses we can fulfill. Delivery estimates are estimates only and begin after an order is paid and released for fulfillment. Orders may be fulfilled by suppliers or warehouses in the United States or elsewhere. Delays can occur due to supplier processing, carrier conditions, weather, address issues, or events outside our reasonable control.

You are responsible for providing a complete and accurate shipping address. Additional carrier fees, redirected shipments, or losses caused by an incorrect address may be your responsibility. See our Shipping Policy at /pages/shipping for current methods, fees, and estimates.

8. Returns, refunds, and cancellations

Return eligibility, windows, and process are described in our Returns & Refunds Policy at /pages/returns. Unless that policy or applicable law says otherwise, sale items, personalized items, intimate/hygiene goods, and items returned used, damaged, or incomplete may be non-returnable. Refunds, when approved, are typically issued to the original payment method after we receive and inspect the return (or as otherwise stated in the returns policy).

You may request cancellation before an order is fulfilled by contacting hello@zopiva.com as soon as possible. Once an order is in fulfillment or shipped, standard return rules apply.

9. Promotions and discount codes

Promotions and codes are subject to their stated terms, may be modified or ended at any time, are not transferable, and cannot be combined unless we say otherwise. Abuse of promotions (including stacking, resale schemes, or automated misuse) may result in cancellation of discounts or orders.

10. Acceptable use

You agree not to: • Use the Services for unlawful, harmful, or fraudulent purposes • Interfere with the security, integrity, or performance of the Services • Scrape, harvest, or copy catalog or content except as allowed by ordinary browser use or with our prior written consent • Attempt to gain unauthorized access to accounts, systems, or data • Misrepresent your identity or payment authority • Use the Services in a way that violates these Terms or applicable law

We may investigate and take action, including removing content, canceling orders, or suspending access.

11. Intellectual property

The Zopiva name, logos, storefront design, product copy, images, and other content on the Services are owned by us or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our content except for personal, non-commercial use incidental to shopping, or as otherwise permitted by law.

12. Third-party services

The Services may rely on or link to third parties (payment, shipping, authentication, analytics, and similar). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services we do not control.

13. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT PRODUCT DESCRIPTIONS ARE ALWAYS COMPLETELY ACCURATE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS. IN THOSE PLACES, SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ZOPIVA AND THE INDIVIDUAL OPERATOR OF ZOPIVA (INCLUDING ANY HELPERS OR SERVICE PROVIDERS ACTING ON OUR BEHALF) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE ORDER GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS (US$50).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THOSE PLACES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnity

You agree to defend, indemnify, and hold harmless Zopiva and the individual who operates Zopiva from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.

16. Governing law and disputes

Because Zopiva sells online to U.S. customers and the operator may be outside the United States, these Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict-of-law rules, except that you keep any non-waivable consumer protections available under the laws of your U.S. state of residence.

Before filing a formal dispute, email hello@zopiva.com and allow 30 days for us to try to resolve the issue informally.

If we cannot resolve the dispute informally, and except where prohibited by law, either party may pursue binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration may be conducted by video, phone, or documents-only when reasonably available. Judgment on the award may be entered in any court with jurisdiction. You may bring an eligible claim in small claims court instead of arbitration.

Nothing in this section requires you (or us) to waive rights that cannot lawfully be waived, including rights under mandatory consumer protection laws in your U.S. state of residence.

17. Changes to the Services or Terms

We may update the Services and these Terms from time to time. We will post updated Terms on this page and change the “Last updated” date. Material changes may be highlighted by additional notice when appropriate. Continued use after changes become effective constitutes acceptance of the updated Terms. If you do not agree, stop using the Services.

18. Termination

We may suspend or end your access to the Services at any time if we believe you violated these Terms, created risk or legal exposure, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, warranty disclaimers, limitations of liability, and indemnity) will survive termination.

19. Miscellaneous

These Terms, together with our Privacy Policy and any policies linked from the Services (including Shipping and Returns), are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Headings are for convenience only.
